User Agreement

Before using the software and services available at https://redmine-kanban.com, please carefully review the terms of this License Agreement.

By installing, accessing, registering, launching, or otherwise using the Software, you fully and unconditionally accept the terms of this Agreement.

If you do not agree with these terms, you must immediately discontinue any use of the Software.

Parties to the Agreement

This License Agreement (the "Agreement") is entered into between:

RK Team, address: 38 Artemidos Avenue, Larnaca, Cyprus (hereinafter referred to as the "Licensor" and "Data Controller"),

and the user of the Software, whether an individual or a legal entity (hereinafter referred to as the "Licensee").

1. Definitions

Licensor: RK Team, 38 Artemidos Avenue, Larnaca, Cyprus.

Licensee: Any individual or legal entity lawfully using the Software in accordance with this Agreement.

Software: The computer program "Redmine Kanban plugins", including its components, source code, databases, audiovisual works, and related documentation published at https://redmine-kanban.com.

Use of the Software: Any actions necessary for the operation of the Software in accordance with its intended purpose, including installation, execution, storage in computer memory, and access.

Authorized User: A user registered by the Licensee and granted access to the Software.

License Type: The pricing plan selected by the Licensee and published at https://redmine-kanban.com.

2. Subject of the Agreement

The Licensor grants the Licensee a non-exclusive, limited, and revocable right to use the Software in accordance with the terms of this Agreement and the selected License Type.
This Agreement becomes effective upon the Licensee's first use of the Software and remains valid for the entire period of lawful use.
The Software may be used worldwide without territorial restrictions.

3. Intellectual Property Rights

The Software is an object of copyright and is protected by the laws of the Republic of Cyprus, applicable European Union law, and international treaties.
All exclusive intellectual property rights to the Software belong to the Licensor.
The source code, architecture, and algorithms of the Software constitute the Licensor's trade secrets.
This Agreement does not grant the Licensee any rights to use the Licensor's trademarks, logos, trade names, or other identifiers.

4. Terms of Use and Restrictions

The Licensee is entitled to:

Use the Software strictly within the scope of its functional purpose and the selected License Type.

The Licensee is prohibited from:

Copying, distributing, or modifying the Software beyond what is permitted by applicable law.
Using the Software for unlawful purposes.
Infringing the rights of third parties.

Temporary installation of the Software for testing or development purposes is permitted, provided that no public or external access is granted. Such installation must be removed upon completion of testing or development.

5. Assignment of Rights

The Licensee may assign its rights and obligations under this Agreement once, provided that the new user fully accepts all terms of this Agreement.
Indirect assignment or assignment through third parties is not permitted.

6. License Types

6.1. Server License

A Server License is granted for a period of one (1) year from the activation date.
During the license term, the Licensee is entitled to access software updates, install and use new versions of the Software, and receive technical support.

6.2. Limited License

A Limited License is granted free of charge upon expiration of the Server License.
The Limited License does not include access to updates or technical support.

7. Technical Support

Technical support is provided only during the active license term.
The Licensor may request technical information reasonably required to provide technical support.

8. Limitation of Liability

The Software is provided on an "AS IS" basis.
To the maximum extent permitted by applicable law, the Licensor shall not be liable for loss of profits or revenue, loss of data, or any indirect, incidental, or consequential damages.
The Licensor does not guarantee uninterrupted or error-free operation of the Software if the Licensee modifies the Software's code or structure.

9. Personal Data Processing (GDPR)

The Licensor acts as the Data Controller within the meaning of Regulation (EU) 2016/679 (GDPR).
Personal data is processed on lawful bases including performance of this Agreement,legitimate interests of the Licensor, and consent of the data subject where applicable.
Processed personal data may include name, email address, account information, billing, and technical data.
Personal data is processed solely for providing access to the Software, technical support, billing, accounting, and service improvement.
The Licensee has the right to access, rectify, erase, restrict processing, ensure data portability, and lodge a complaint with a supervisory authority.
Personal data is retained only for as long as necessary to fulfill processing purposes or legal obligations.
Withdrawal of consent may result in the inability to continue using the Software.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cyprus and applicable European Union law.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Cyprus.

11. Amendment and Termination

The Licensor may amend this Agreement by publishing an updated version on the website.
In case of violation of this Agreement, access to the Software may be suspended or terminated.
The Licensee may request a refund within fourteen (14) days from the date of payment, unless otherwise required by applicable law.
